End-User License Agreement (EULA)

This End-User License Agreement ("Agreement") is a legally binding agreement between you ("User," "you," or "Customer") and Collabute, Inc. ("Collabute," "Company," "we," or "us") governing your use of the Collabute desktop application and related services (collectively, the "Software").
By installing, accessing, or using the Software, you agree to be bound by this Agreement. If you do not agree to this Agreement, do not install or use the Software.
1. License Grant
Subject to your compliance with this Agreement and any applicable subscription or order terms, Collabute grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Software for your internal business purposes.
This license does not grant you any ownership rights in the Software.
2. Ownership and Intellectual Property
The Software, including all updates, enhancements, features, design elements, trademarks, and intellectual property rights, is and remains the exclusive property of Collabute.
You retain all rights, title, and interest in:
- Data you upload, submit, or process through the Software ("Customer Data")
- Content created by you within the Software
All rights not expressly granted under this Agreement are reserved by Collabute.
3. AI Features and Outputs
The Software may include artificial intelligence features that generate summaries, recommendations, tickets, transcripts, or other outputs ("AI Outputs").
To the extent permitted by law:
- You retain ownership of AI Outputs generated specifically for you based on your Customer Data.
- Collabute retains all rights in the underlying models, algorithms, training methods, and system architecture used to generate AI Outputs.
AI Outputs may contain inaccuracies. You are responsible for reviewing and validating AI-generated content before relying on it.
4. Acceptable Use Restrictions
You agree not to:
- Reverse engineer, decompile, or attempt to extract source code from the Software
- Modify, copy, or create derivative works of the Software
- Use the Software to build or assist in building a competing product or service
- Circumvent subscription limits or security mechanisms
- Use the Software in violation of applicable laws or regulations
Each authorized user must maintain a unique account and login credentials.
5. Third-Party Integrations
The Software may allow you to connect third-party services (e.g., Slack, Google Workspace, Vercel, Linear, or other integrations).
You acknowledge and agree that:
- You are responsible for obtaining all required permissions and consents to connect third-party services.
- Your use of third-party services is governed by their respective terms and policies.
- Collabute does not guarantee the availability, functionality, or continued compatibility of third-party integrations.
- You agree to indemnify and hold Collabute harmless from claims arising from your use of third-party integrations.
6. Data and Privacy
Your use of the Software is also governed by the Collabute Privacy Policy.
Collabute may process personal data and Customer Data as described in the Privacy Policy. By using the Software, you acknowledge that such processing may include:
- Account and user information
- Usage and device information
- Data from authorized third-party integrations
You represent that you have obtained all necessary consents required by law (including, where applicable, consent to record meetings or process communications).
7. Updates and Modifications
Collabute may update, modify, or discontinue features of the Software at any time.
We may also release updates, patches, or new versions. Continued use of the Software after updates constitutes acceptance of the updated version.
8. Subscription and Fees
Use of the Software may require payment of subscription fees pursuant to an applicable order form or subscription plan.
Unless otherwise stated:
- Fees are non-refundable.
- Failure to pay applicable fees may result in suspension or termination of access.
9. Termination
This Agreement remains in effect until terminated.
Collabute may suspend or terminate your access to the Software if you:
- Breach this Agreement
- Fail to pay applicable fees
- Use the Software unlawfully
Upon termination:
- Your license to use the Software immediately ends.
- You must cease all use of the Software.
10. Disclaimer of Warranties
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE."
To the maximum extent permitted by law, Collabute disclaims all warranties, express or implied, including:
- Merchantability
- Fitness for a particular purpose
- Non-infringement
- Accuracy or reliability of AI-generated outputs
Collabute does not warrant that the Software will be uninterrupted, secure, or error-free.
11. Limitation of Liability
To the maximum extent permitted by law:
- Collabute shall not be liable for indirect, incidental, special, consequential, or punitive damages.
- Collabute's total aggregate liability arising out of or relating to this Agreement shall not exceed the total amount paid by you to Collabute for the Software in the twelve (12) months preceding the claim.
Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
12. Regulatory Status
Collabute may pursue certifications or compliance frameworks (such as SOC 2 or similar standards) in the future.
Unless explicitly stated in a separate written agreement, no certification or regulatory compliance is guaranteed at this time.
13. Export Compliance
You agree not to use or export the Software in violation of United States export control laws or other applicable laws.
14. Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.
Any disputes arising out of or relating to this Agreement shall be subject to the exclusive jurisdiction of the state or federal courts located in Delaware.
15. Entire Agreement
This Agreement, together with any applicable subscription terms and the Privacy Policy, constitutes the entire agreement between you and Collabute regarding the Software and supersedes all prior agreements or understandings.
If any provision of this Agreement is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
